Terms of Use & End User License Agreement (EULA)

This End User License Agreement (EULA) complies with Apple's minimum requirements for iOS applications. Sections 1-10 contain mandatory Apple EULA clauses.

1. ACKNOWLEDGEMENT

You and the End-User must acknowledge that this EULA is concluded between You and the End-User only, and not with Apple, and Zenko, not Apple, is solely responsible for the Licensed Application and the content thereof. This EULA may not provide for usage rules for Licensed Applications that are in conflict with the Apple Media Services Terms and Conditions as of the Effective Date (which You acknowledge You have had the opportunity to review).

2. SCOPE OF LICENSE

The license granted to the End-User for the Licensed Application is limited to a non-transferable license to use the Licensed Application on any Apple-branded Products that the End-User owns or controls and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that such Licensed Application may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.

3. MAINTENANCE AND SUPPORT

Zenko is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this EULA, or as required under applicable law. You and the End-User acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

4. WARRANTY

Zenko is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. This EULA provides that, in the event of any failure of the Licensed Application to conform to any applicable warranty, the End-User may notify Apple, and Apple will refund the purchase price for the Licensed Application to that End-User; and that, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Zenko's sole responsibility.

5. PRODUCT CLAIMS

You and the End-User acknowledge that Zenko, not Apple, is responsible for addressing any claims of the End-User or any third party relating to the Licensed Application or the end-user's possession and/or use of that Licensed Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the Licensed Application's use of the HealthKit and HomeKit frameworks. This EULA does not limit Zenko's liability to the End-User beyond what is permitted by applicable law.

6. INTELLECTUAL PROPERTY RIGHTS

You and the End-User acknowledge that, in the event of any third party claim that the Licensed Application or the End-User's possession and use of that Licensed Application infringes that third party's intellectual property rights, Zenko, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

7. LEGAL COMPLIANCE

The End-User represents and warrants that (i) he/she is not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) he/she is not listed on any U.S. Government list of prohibited or restricted parties.

9. THIRD PARTY TERMS OF AGREEMENT

The End-User must comply with applicable third party terms of agreement when using the Application. For example, if You have a VoIP application, then the End-User must not be in violation of their wireless data service agreement when using the Application. Zenko integrates with the following third-party services: • OpenAI: For AI-powered day plan generation • Google Maps: For location search and mapping • Supabase: For data storage and authentication • RevenueCat: For subscription management Your use of these services is subject to their respective terms and privacy policies.

10. THIRD PARTY BENEFICIARY

You and the End-User acknowledge and agree that Apple, and Apple's subsidiaries, are third party beneficiaries of this EULA, and that, upon the End-User's acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against the End-User as a third party beneficiary thereof.

11. ACCEPTANCE OF TERMS

By downloading, installing, or using the Zenko mobile application ("App"), you agree to be bound by these Terms of Use and End User License Agreement ("Terms"). If you do not agree to these Terms, do not use the App. Zenko is a travel planning application that helps users discover destinations, create personalized day plans, and organize trips around the world using AI-powered recommendations.

12. DESCRIPTION OF SERVICE

Zenko provides the following services: • Trip Planning: Create and manage travel itineraries to destinations worldwide • AI-Powered Day Plans: Generate personalized daily schedules with activities, restaurants, and attractions • Destination Discovery: Explore countries, cities, and travel inspiration • Budget Tracking: Monitor and manage travel expenses with currency conversion • Premium Features: Access to unlimited trips, unlimited personalized days, and early access to new features (subscription required)

13. SUBSCRIPTION TERMS

13.1 Premium Subscription Zenko offers two subscription plans: • Premium Annuel (Annual): Billed yearly at 3,99€/month • Premium Mensuel (Monthly): Billed monthly at 5,99€/month 13.2 Auto-Renewal Subscriptions automatically renew at the end of each subscription period unless canceled at least 24 hours before the renewal date. Your App Store or Google Play account will be charged for renewal within 24 hours prior to the end of the current period. 13.3 How to Cancel You can cancel your subscription at any time through your device settings: iOS (Apple): 1. Open Settings on your iPhone/iPad 2. Tap your Apple ID at the top 3. Tap Subscriptions 4. Select Zenko 5. Tap Cancel Subscription Android (Google Play): 1. Open Google Play Store 2. Tap Menu > Subscriptions 3. Select Zenko 4. Tap Cancel Subscription 13.4 Refunds All purchases are processed through the App Store (Apple) or Google Play Store (Google). Refund requests must be made directly to Apple or Google in accordance with their respective refund policies. Zenko does not control refund decisions. 13.5 Free Trial If a free trial is offered, you will be charged at the end of the trial period unless you cancel before the trial ends. Free trials are available once per user. 13.6 Price Changes Subscription prices may change at any time. You will be notified of any price changes in advance, and changes will apply to your next billing cycle after acceptance.

14. USER ACCOUNTS

14.1 Account Creation To use Zenko, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials. 14.2 Account Security You agree to: • Provide accurate and complete information • Keep your password secure • Notify us immediately of any unauthorized use of your account • Accept responsibility for all activities under your account 14.3 Account Deletion You may delete your account at any time through the App Settings. Deleting your account will permanently remove all your data, including trips, days, activities, and preferences. This action cannot be undone.

15. USER CONDUCT

You agree NOT to: • Use the App for any illegal or unauthorized purpose • Attempt to gain unauthorized access to the App or its systems • Interfere with or disrupt the App's functionality • Upload malicious code, viruses, or harmful content • Violate any applicable laws or regulations • Impersonate another person or entity • Scrape, copy, or extract data from the App without permission

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW: • Zenko is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied • Zenko does not guarantee the accuracy, completeness, or reliability of travel recommendations, pricing, or information • Zenko is not responsible for any travel-related incidents, damages, losses, or injuries • You are solely responsible for verifying all travel information (e.g., visa requirements, safety warnings, local regulations) • Zenko's total liability to you for any claims shall not exceed the amount you paid for the subscription in the 12 months preceding the claim Zenko is a planning tool only. We strongly recommend: • Verifying all travel information with official sources • Purchasing travel insurance • Checking visa and passport requirements • Reviewing safety advisories and local laws • Confirming all bookings and reservations

17. TERMINATION

17.1 By You You may stop using the App and delete your account at any time. 17.2 By Zenko Zenko reserves the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. 17.3 Effect of Termination Upon termination: • Your access to the App will cease • Subscription benefits will end (no refunds for early termination) • Your data may be deleted in accordance with our Privacy Policy

18. PRIVACY & DATA PROTECTION

Your privacy is important to us. Please review our Privacy Policy at https://v0-zenko-landing-page.vercel.app/privacy to understand how we collect, use, and protect your data. By using Zenko, you consent to our data practices as described in the Privacy Policy.

19. CHANGES TO TERMS

Zenko reserves the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification. Your continued use of the App after changes constitutes acceptance of the updated Terms.

20. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of France, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be resolved through: 1. Informal Negotiation: Contact us at zenko@gmail.com 2. Mediation: If negotiation fails, parties agree to mediation 3. Arbitration or Courts: As required by applicable law
